2. Acceptance of Terms

By accessing our website, purchasing our services, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must strictly prohibited from using our Services.

3. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.
• You are not located in a country that is subject to a U.S. government embargo.

4. Services Provided

TechStack LLC provides digital marketing, AEO (Answer Engine Optimization), SEO, content strategy, and automation services ("Services"). The specific scope of Services is detailed in your Statement of Work (SOW) or the service package description on our website. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

5. Account Registration and Security

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

6. Orders and Payment

All fees are stated in U.S. Dollars. By placing an order, you authorize us to charge your selected payment method for the total amount. Payments for recurring services are billed in advance. Failure to pay may result in immediate suspension or termination of Services.

7. Subscription Services

For subscription-based Services (e.g., retainers, software access):

• Billing Cycle: Subscriptions automatically renew at the end of each billing period unless canceled.
• Cancellation: You may cancel your subscription at any time via your account dashboard or by contacting support. Cancellations take effect at the end of the current billing cycle.

8. Refunds and Cancellations

Service-Based Refunds: Due to the nature of digital services and labor involved, refunds for completed work are generally not provided unless explicitly stated in a specific performance guarantee (e.g., our "Page 1 Visibility Guarantee").

Subscription Refunds: We do not offer prorated refunds for unused time in a billing cycle.

9. Intellectual Property Rights

Our IP: TechStack LLC retains all rights, title, and interest in our proprietary methodologies, software, code, templates, and pre-existing materials.

Deliverables: Upon full payment, you are granted a perpetual, non-exclusive, non-transferable license to use the final deliverables (e.g., reports, custom content) for your internal business purposes.

10. Client Content and Data

You retain ownership of all data, text, files, and other materials you provide to us ("Client Content"). You grant us a license to use, reproduce, and modify Client Content solely as necessary to provide the Services. You represent that you own or have the necessary rights to all Client Content.

11. Third-Party Platforms

Our Services may integrate with third-party platforms (e.g., Google, Facebook, HubSpot). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of third-party platforms is subject to their respective terms and conditions.

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information are governed by our Privacy Policy. By using our Services, you consent to such processing.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TECHSTACK LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC MARKETING RESULTS UNLESS EXPLICITLY STATED IN A SEPARATE WRITTEN AGREEMENT.

14. Limitation of Liability

IN NO EVENT SHALL TECHSTACK LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless TechStack LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Austin, Texas, for the resolution of any disputes.

17. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18. Entire Agreement and Severability

These Terms, together with any Statement of Work (SOW) or other mutually agreed-upon documents, constitute the entire agreement between you and TechStack LLC regarding the use of the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. No Waiver

No failure or delay by TechStack LLC in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy or preclude its exercise at any subsequent time.

20. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

21. Notices

All notices or other communications required or permitted under these Terms shall be in writing and delivered electronically to the email address provided during registration (for you) or to legal@techstackllc.info (for us), or by certified mail to the addresses provided herein.

23. Performance Commitment and Extended Service Guarantee

Page 1 Visibility Guarantee. TechStack LLC guarantees Page 1 visibility for the Client's Primary Keyword Set (defined during kickoff) in the Client's target market within the four to six (4–6) month sprint, measured in TechStack's rank tracking system configured to the agreed market. If the guarantee is not met by the end of the sprint, TechStack will continue SEO work at no additional labor cost until the guarantee is met, provided the Client meets the Collaboration Requirements.

Collaboration Requirements:

• Required access granted within 5 business days (GSC, GA4, GBP, CMS, hosting as applicable)
• Approvals and feedback within 5 business days
• No simultaneous SEO vendor changes without written alignment
• Client implements required technical fixes or authorizes TechStack to implement
• No active manual action/penalty at kickoff
